HUDSON VALLEY CAREER DEVELOPMENT, LLC
CONSULTING AGREEMENT
I. INDEPENDENT CONTRACTOR RELATIONSHIP
Consultant’s relationship with Customer will be that of an independent contractor, and nothing in this Agreement is intended to, or should be construed to, create a partnership, agency, joint venture, or employment relationship. No part of Consultant’s compensation will be subject to withholding by Customer for the payment of any social security, federal, state, or any other employee payroll taxes.
II. CONFIDENTIALITY
2.1 Definition of Confidential Information
“CONFIDENTIAL INFORMATION” as used in this Agreement shall mean any and all technical and non-technical information including patent, copyright, trade secret, proprietary information, computer files, and Customer information related to the past, current, future, and proposed services of Consultant and includes, without limitation, Client property and Client’s information concerning customers, research, financial information, purchasing, business forecasts, sales and merchandising, and marketing plans and information.
2.2 Nondisclosure Confidentiality
Customer agrees to protect the confidentiality of all Confidential Information regarding the Breakthrough!® Methodology, including resumes, cover letters, etc. Customer shall neither use nor disclose the Confidential Information for the use of any 3rd parties without the express written consent of the Consultant. Customer also agrees not to transfer or share any products purchased i.e. Videos, books, pdfs, coaching strategies, etc., without the Consultant’s permission.
III. GENERAL PROVISIONS
1.1 Governing Law
This agreement shall be governed in all respects by the laws of New York State. Each of the parties irrevocably consents to the exclusive personal jurisdiction of the federal and state courts located in New York State, as applicable, for any matter arising out of or relating to this Agreement.
IV. GUARANTEE AND REFUND POLICY
Hudson Valley Career Development, LLC does not guarantee you will become employed. We will provide the tools and counseling for you to launch a proactive job search that has resulted in gainful employment to many of our clients. Past performance is no guarantee of future results.
Hudson Valley Career Development, LLC does not offer refunds. As we cannot control the job market, supply and demand for services, the ups and downs of the economy, whether a customer follows the Breakthrough! Methodology as coached, etc., we do not offer refunds for services rendered. By becoming a Hudson Valley Career Development, LLC client, you agree that you have read this and understand our refund and guarantee policy.
